Mr. Lieberman represents public and private companies located throughout the United States in a wide variety of domestic and international legal matters, including commercial/corporate, technology, mergers/acquisitions and real estate transactions.  Mr. Lieberman works often with high-technology companies, including those in the semiconductor, information technology/database, software and harware and mobile technology sectors.  Some of Mr. Lieberman’s recent representative transactions including:

• Prepared cross-border transfer pricing agreements between international tecnology company and its subsidiaries and branch offices.
• Negotiated a 45,000+ square foot commercial lease on behalf of a tenant.
• Advised a private angel investor client on a significant Series A investment in a technology company.
• Closed a combined convertible bridge note and Series A financings for a high-tech consumer products start-up.
• Acting as lead counsel for several technology companies in stock sale/asset sale transactions, with an estimated total value in excess of $70M.
  
• Closing convertible bridge note and Series B financings for a rapidly-growing mobile technology company.
  
• Representing technology companies in global product supply agreements.
  
• Acting as world-wide real estate counsel to a public company client and providing department-wide lease training to its real estate group.
  
• Counseling, structuring and implementing licensing agreements and programs for various software, hardware and information/database clients.
  

Before joining the firm, Mr. Lieberman was Senior Corporate Counsel of Altera Corporation, a public semiconductor company (NASDAQ: ALTR) with annual revenues of almost $2B.  At Altera, he provided a broad range of legal advice regarding transactional, compliance and pre-litigation matters to senior management and all functional areas of the company including sales, distribution, marketing, real estate/facilities and finance. 

Prior to Altera, Mr. Lieberman practiced general real estate and business law at Lillick & Charles LLP in San Francisco, one of California's oldest law firms, with a particular focus on real estate development and leasing.  Before that, Mr. Lieberman had a broad business transactional and litigation law practice at Bayer, Everett, August & Belote LLP, a boutique law firm (now known as Pinnacle Law Group).  Mr. Lieberman’s emphasis was on real estate (including representing several international retail companies in leasing matters) transactions and litigation as well as entity formation/maintenance and general business litigation matters.

Mr. Lieberman has taught "Basic Intellectual Property Rights", “Software Licensing Basics” and “Commercial Leasing” classes at the Small Business Administration in San Francisco.  Mr. Lieberman is a member of the Bar Association of San Francisco and the State Bar of California.  He is admitted to practice law in California.
